Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website and business-intelligence service (the “Service”) provided by ACE Operational Intelligence Inc. (“ACE”, “we”, “us”). By using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. Agreement to these Terms

The Service is intended for businesses and for individuals who are of the age of majority in their province or territory. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. The Service

ACE turns your sales and inventory data into reports, insights, and dashboards, and can deliver reports to recipients you choose. The Service is currently offered on an early-access basis and is being actively developed; features may change, and customers are onboarded directly by our team. The Service relies on third-party providers (for example, for AI processing, email delivery, and hosting), and we may add, remove, or change providers or features at any time.

3. Eligibility & accounts

You must provide accurate information and keep your access credentials secure. You are responsible for all activity that occurs under your account or access. If you believe your access has been compromised, contact us promptly.

4. Your data & ownership

As between you and ACE, you own your data — the files you upload and the data we read from any database you connect (“Your Data”), together with the reports and insights we generate for you. You grant ACE a limited licence to host, process, transmit, and display Your Data solely to provide, secure, troubleshoot, and support the Service for you (for example, to generate and deliver your reports). You represent that you have the rights and permissions necessary to provide Your Data and that doing so does not violate any law, confidentiality duty, or third-party right. We handle Your Data as described in our Privacy Policy.

5. Acceptable use

You agree not to misuse the Service, including by: uploading data you do not have the right to use; uploading malware or harmful code; attempting to disrupt, overload, or gain unauthorized access to the Service or any account; scraping or copying the Service except as permitted by law; bypassing usage limits; using the Service to violate any law or third-party right; or reverse-engineering the Service except as permitted by law.

6. Plans & fees

Pricing tiers are described on our website. During early access, plans and fees are arranged directly with you before any charges apply — there is no automated self-serve billing at this time. Any agreed fees, billing cycle, refund arrangements, and cancellation terms will be confirmed with you in advance. Except as agreed with you or required by law, fees paid are non-refundable.

7. AI-generated content

Insights, narratives, and recommendations are generated with the help of AI and are provided for informational purposes only. They are not professional, financial, accounting, or legal advice. AI output can contain errors or omissions — you should review it and exercise your own judgment before making decisions. You are responsible for decisions you make based on the Service.

8. Third-party services

The Service uses third-party providers to operate — including our AI provider (Anthropic), email delivery (Google/Gmail), and hosting. Your use of the Service may therefore be subject to those providers' terms and data practices. We are not responsible for the availability, behaviour, or acts and omissions of third-party services, but we select providers we consider appropriate and describe them in our Privacy Policy.

9. Intellectual property

The Service itself — including the website, software, design, brand, trade names, and documentation, other than Your Data — is owned by ACE or its licensors and is protected by intellectual-property and other laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with them; no other rights are granted.

10. Feedback

If you send us comments, suggestions, or ideas about the Service, you grant ACE a non-exclusive, worldwide, royalty-free licence to use that feedback to operate and improve the Service, without obligation to you.

11. Confidentiality

Each of us may receive non-public information from the other in connection with the Service. The receiving party will use reasonable care to protect that information and will use it only in connection with the Service, except where disclosure is required by law or authorized by the other party. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or was independently developed.

12. Privacy & data protection

Our Privacy Policy explains how we collect, use, and protect personal information, and is part of these Terms. If you use the Service on behalf of an organization and require a data processing agreement, contact us and we will work with you on appropriate terms.

13. Service availability & disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, secure, or that results will be accurate or reliable.

14. Limitation of liability

To the fullest extent permitted by law, ACE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from your use of the Service. To the fullest extent permitted by law, ACE's total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnity

To the extent permitted by law, you will indemnify and hold ACE harmless from third-party claims, liabilities, damages, and reasonable expenses arising from Your Data, your use of the Service, or your breach of these Terms or of any law or third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk for the Service or others, or if we discontinue the Service. On termination, the rights granted to you under these Terms end; provisions that by their nature should survive — including those on your data, ownership, confidentiality, disclaimers, limitation of liability, and indemnity — will survive.

17. Changes to the Service or Terms

We may modify the Service or these Terms. If we make material changes, we will take reasonable steps to let you know, such as by posting the updated Terms or notifying you. Continued use after changes take effect means you accept the updated Terms.

18. Electronic communications

By using the Service, you agree that we may communicate with you electronically — including notices, support messages, and legal disclosures — and that electronic communications satisfy any legal requirement that such communications be in writing.

19. Governing law & disputes

These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict-of-laws rules. Before starting a formal proceeding, each party agrees to first try to resolve the dispute informally by contacting the other. Disputes will be subject to the courts located in Quebec.
